An Attorney, who is duly appointed by the State Bar in the State where the Attorney practices law.
A Lawyer, who is someone who has completed Law School (or its equivalent, such as the California Law Office Study Program) and who is not a member of any State Bar and is not suspended or barred from practicing law. A Lawyer must have no less than five-years industry experience either practicing law as an attorney or working in a Law Firm.
A Retired Judge.
A Law Clerk (same definition as “Lawyer” but may have less than five years industry experience).
A Paralegal, who holds a valid Paralegal Certificate from an Accredited Paralegal University, College or Trade School, and someone who has no less than five years’ experience working in a law office.
A Legal Assistant, someone who has a minimum of five years’ experience working in a law office but does not hold a Paralegal Certificate from an Accredited Paralegal University, College or Trade School.
Service providers are designated by Syndicate Legal Support Services’ management, and Client will receive the needed services which will be rendered pursuant to this Agreement. Syndicate Legal Support Services’ has sole judgment relating to all services provided to the Client. This Agreement will continue until the hours purchased have been used, or the Agreement is terminated by Syndicate Legal Support Services or the Client. Should this Agreement be terminated by Syndicate Legal Support Services or the Client for any reason, any unused hours paid for by the Client in advance shall be returned by Syndicate Legal Support Services to the Client without interest or deduction. Should this Agreement be terminated by the Client for any reason, any unpaid for hours of services provided by Syndicate Legal Support Services to the Client shall be immediately due.
Step One: All Legal Support Services are ordered either through the Client Portal at www.MyCase.com (“MyCase”) – OR – by Calling or Emailing Syndicate Legal Support Services. Orders through MyCase are confirmed within TWO HOURS EACH COURT DAY.
Step Two: Syndicate Legal Support Services will verify with the Client (by email or call) the scope of services needed.
Step Three: after verification of the Services requested / ordered, Syndicate Legal Support Services will provide the Legal Support Services.
Step Four: The Client will be able to track the progress of the services through MyCase.
Syndicate Legal Support Services will send the Client copies of all completed work, documents, correspondence, and other information throughout our services engagement. These copies will be the Client’s file copies. Syndicate Legal Support Services will also keep the information in a file at the Corporate Office of Syndicate Legal Support Services. The Syndicate Legal Support Services’ file will be “our file”. Please have “your file” available during any in-person meeting / video conferences / teleconferences so that all parties have the necessary information available to them. Once Syndicate Legal Support Services has completed the services, Syndicate Legal Support Services will close the file and return any original documents to the Client. Syndicate Legal Support Services will then store the file for approximately six (6) years. Syndicate Legal Support Services will destroy the file after that period of time unless the Client instructs Syndicate Legal Support Services in writing to keep the file longer, or destroy the file sooner.
Services Location. The services detailed in this Agreement to be provided by Syndicate Legal Support Services under this Agreement shall be performed at Syndicate Legal Support Services place of business.
Compliance with Law. Syndicate Legal Support Services shall provide the services detailed in this Agreement in accordance with all applicable laws, ordinances, and contracts with respect to jurisdictional paralegal services. Syndicate Legal Support Services is a Los Angeles County Bonded & Insured Legal Document Preparation Assistant (License No. 2024100564).
Non-disclosure and Non-solicitation. Syndicate Legal Support Services shall not directly or indirectly disclosure to any person other than a representative of the Client at any time either during the term of this Agreement or following the termination or expiration thereof, any confidential or proprietary information pertaining to the Client, including but not limited to any Client case details, customer lists, contracts, financial data, sales data, supply sources, business opportunities for new or developing business, plans and models, or trade secrets. Furthermore, Syndicate Legal Support Services agrees that during the term of this Agreement and for a period of one year following the termination or expiration of this Agreement, Syndicate Legal Support Services shall not directly or indirectly solicit or attempt to solicit any customers or suppliers of the Client other than on behalf of the Client.
Independent Contractor Status. Syndicate Legal Support Services and the Client each agree that Syndicate Legal Support Services shall at all times be an Independent Contractor and that no relationship of employer and employee, partners or other relationship is created or intended to be created by this Agreement for any purposes, including without limitation for Federal or State Tax and other State and/or Federal purposes. Syndicate Legal Support Services assumes full responsibility for payment of all Federal, State and/or Local Taxes imposed or required under unemployment insurance, self-employment, social security and income tax laws upon compensation paid to Syndicate Legal Support Services. Syndicate Legal Support Services shall not hold itself, nor shall any member of Syndicate Legal Support Services hold himself or herself, out as an employee, partner or agent of the Client.
Client Indemnification and Approval. Client will provide all content, outlines, photos, product images, etc., as necessary for any special projects. Source material must be clear and legible. Client is responsible for furnishing all pertinent information, and for furnishing accurate, truthful and complete information necessary for Syndicate Legal Support Services to perform or complete the contracted services or project. Client assumes full responsibility for acceptance of work or services performed and agreed upon, as well as final proofing and accuracy. Syndicate Legal Support Services is not responsible for errors or omissions. Client agrees that the accuracy of information supplied to Syndicate Legal Support Services is the sole responsibility of the Client, and that Syndicate Legal Support Services is not responsible and shall not be held liable for the results of services performed on the basis of inaccurate, incomplete or untruthful information furnished by the Client. Client shall indemnify, defend and save Syndicate Legal Support Services harmless from any and all suits, costs, damages or proceedings, including but not limited to, Syndicate Legal Support Services’ services, pertaining to any and all litigation in which the Client is a party. Client shall pay all expenses incurred by Syndicate Legal Support Services including, but not limited to, all attorney’s fees, costs and expenses incurred should Syndicate Legal Support Services be named a party in any litigation to which Client is a party. Client shall further indemnify and hold harmless Syndicate Legal Support Services and its agents, officers and directors from liability for any and all claims, costs, suits and damages, including attorney’s fees arising directly or indirectly out of or in connection with the operation of Client, and from liability for injuries suffered by any person relating to the Client. This Agreement to indemnify Syndicate Legal Support Services is not limited to any acts or omissions, statements or representations made by Syndicate Legal Support Services in the performance and/or non-performance of Syndicate Legal Support Services’ duties hereunder and relating to all contractual liabilities, which may be alleged or imposed against Syndicate Legal Support Services. All reasonable precautions will be taken to safeguard the property entrusted to Syndicate Legal Support Services. In the absence of negligence, however, Syndicate Legal Support Services will not be held liable loss, destruction, or damage of any kind resulting from items which are lost or delayed in transit, whether such transit is electronic, fax, mail or otherwise, nor for unauthorized use by others of such property. Syndicate Legal Support Services will not be held liable for any incidental, consequential or indirect damages, including without limitation damages for loss of profits, business interruption, loss of information, plagiarism, etc. Syndicate Legal Support Services will not be held liable for typographical omissions or errors.
Indemnification of Client. Syndicate Legal Support Services shall indemnify the Client against all liability, loss or damages, including consequential and incidental damages, and against all claims or actions based on or arising out of damage or injury (including death) caused by or sustained in connection with the performance by Syndicate Legal Support Services, or based on any violation of any statute, ordinance, regulation or contract, and the defense of any such claims or actions including attorney’s fees. Syndicate Legal Support Services shall also indemnify the Client against all liability and loss in connection with, and shall assume full responsibility for, payment of all Federal, State and/or Local Taxes or contributions imposed or required under unemployment insurance, social security and income tax laws, with respect to Syndicate Legal Support Services performance of this Agreement.
Final Approval. Client understands that final approval of all work lies with the Client and that Syndicate Legal Support Services assumes no responsibility. Syndicate Legal Support Services agrees to make corrections, additions and deletions under the Client’s ultimate satisfaction with the final work product.
Notices. Any notice, request, demand, consent, waiver or other communication which either party may with to serve of, may be required to serve on either party shall be in writing and shall be served by personal delivery, by facsimile, by prepaid recognized overnight air express delivery, by pre-paid certified mail, return receipt requested, or by pre-paid telegram addressed to such party at the address set forth at the beginning of this Agreement.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS THE CLIENT’S RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS THE CLIENT AND SYNDICATE LEGAL SUPPORT SERVICES HAVE AGAINST EACH OTHER ARE RESOLVED.
In this Mandatory Arbitration section, the term "related third parties" includes the Client’s and Syndicate Legal Support Services’ respective affiliates, subsidiaries, parent companies, predecessors, successors, assigns, as well as Syndicate Legal Support Services’, and these entities' respective employees and agents.
The Client and Syndicate Legal Support Services agree that any claim or dispute at law or equity that has arisen, or may arise, between the Client and Syndicate Legal Support Services (or any related third parties) that relates in any way to or arises out of this or previous versions of this Agreement, The Client’s use of or access to the Services, or the actions of Syndicate Legal Support Services or its agents, will be resolved in accordance with the provisions set forth in this Mandatory Arbitration Section.
Applicable Law: The Client agrees that, except to the extent inconsistent with or preempted by Federal Law, the Laws of the State of California, without regard to principles of conflict of laws, will govern this Agreement or any Service Contracts (as defined above) and any claim or dispute that has arisen or may arise between the Client and Syndicate Legal Support Services, except as otherwise stated in this Agreement.
Agreement to Arbitrate: The Client and Syndicate Legal Support Services each agree that any and all disputes or claims that have arisen, or may arise, between the Client and Syndicate Legal Support Services (or any related third parties) that relate in any way to or arise out of this or previous versions of the Agreement (including any “Services Contract”), the Client’s use of or access to the Services, the actions of Syndicate Legal Support Services or its agents, or any products or services sold, offered, or purchased through Syndicate Legal Support Services shall be resolved exclusively through final and binding arbitration, rather than in court.
Alternatively, the Client may assert its claims in small claims court, if the Client’s claims qualify and so long as the matter remains in such court and advances only on an individual (non-class, nonrepresentative) basis. The Federal Arbitration Act ("FAA"), and to the extent not inconsistent with the FAA, the laws of the State of California, without regard to principles of conflict of laws, governs the interpretation and enforcement of this Agreement to Arbitrate.
- Prohibition of Class and Representative Actions and Non-Individualized Relief: THE CLIENT AND SYNDICATE LEGAL SUPPORT SERVICES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, OR REPRESENTATIVE OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. UNLESS BOTH THE CLIENT AND SYNDICATE LEGAL SUPPORT SERVICES AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, CLASS, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER CLIENTS OF SYNDICATE LEGAL SUPPORT SERVICES. If a court decides that applicable law precludes enforcement of any of this paragraph's limitations as to a particular claim or a particular request for a remedy (such as a request for injunctive relief), then that claim or that remedy request (and only that claim or that remedy request) must be severed from the arbitration and may be brought in court (subject to the terms of this section), subject to the Client and Syndicate Legal Support Services’ right to appeal the court's decision. All other claims will be arbitrated.
- Arbitration Procedures: Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and court review of an arbitration award is very limited. However, an arbitrator can award the same damages and relief on an individualized basis that a court can award to an individual. An arbitrator should apply the terms of this Agreement as a court would. All issues are for the arbitrator to decide, except those issues relating to arbitrability, or the scope or enforceability of this Agreement to Arbitrate, shall be for a court of competent jurisdiction to decide.
The arbitration will be administered by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Consumer Arbitration Rules and the AAA's Commercial Arbitration Rules, and the AAA's International Centre for Dispute Resolution Rules (as applicable), as modified by this Agreement to Arbitrate. Absent agreement of the parties, the AAA shall decide which AAA rules apply to the arbitration. The AAA's rules are available at www.adr.org and www.icdr.org. In the event that the AAA is unavailable to administer the arbitration, another administrator will be selected by the parties or, if the parties cannot reach the agreement, the court shall select the administrator.
A party who intends to seek arbitration must first send to the other, by certified mail, a valid Notice of Dispute ("Notice"), which may be downloaded at www.adr.org. The Notice to Syndicate Legal Support Services must be sent to Syndicate Legal & Financial, LLC, Attn: Litigation Department, Re: Notice of Dispute, 25350 Magic Mountain Parkway, Santa Clarita, California 91355; with a copy emailed to STEVE@SYNDICATELEGALSUPPORT.COM. Syndicate Legal Support Services will send any Notice to the Client at the physical address that Syndicate Legal Support Services has on file for the Client, as well as send a copy via email to the Primary Contract. It is the Client’s responsibility to keep its physical address up to date. To be valid, the Client must personally sign the Notice and complete all information on the Notice form, including a description of the nature and basis of the claims the Client is asserting, and the specific relief sought.
If the Client and Syndicate Legal Support Services are unable to resolve the claims described in a valid Notice within 30 days after Syndicate Legal Support Services receives the Notice, the Client or Syndicate Legal Support Services may initiate arbitration proceedings. A form for initiating arbitration proceedings is available on the AAA's site at www.adr.org. In the event Syndicate Legal Support Services initiates an arbitration against the Client, Syndicate Legal Support Services will send a copy of the completed form to the physical address that Syndicate Legal Support Services has on file for the Client. Any settlement offer made by the Client or Syndicate Legal Support Services shall not be disclosed to the arbitrator.
Whether the Client resides in the United States or in another country, the arbitration hearing will be held in Los Angeles County, State of California, Country of the United States. Where no disclosed claims or counterclaims exceed $25,000, the dispute shall be resolved by the submission of documents only, subject to the arbitrator's discretion to require an in-person hearing, if the circumstances warrant. In cases where an in-person hearing is held, the Client and/or Syndicate Legal Support Services may attend by telephone or by Zoom (or other video conferencing technology), unless the arbitrator requires otherwise. The language of the arbitration will be English.
The arbitrator will decide the substance of all claims in accordance with applicable law, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different client of Syndicate Legal Support Services, but is bound
by rulings in prior arbitrations involving the same Client to the extent required by applicable law. The arbitrator's award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
- Cost of Arbitration: Payment of all filing, administration and arbitrator fees will be governed by the AAA's rules, unless otherwise stated in this Agreement to Arbitrate. If the Client complied with the Notice of Dispute procedures of this Section of the Agreement, and the value of the relief sought is $10,000 or less, at the Client’s request, Syndicate Legal Support Services will pay all administration and arbitrator fees associated with the arbitration. Any request for payment of fees by Syndicate Legal Support Services should be submitted by mail to the AAA along with the Client’s Demand for Arbitration and Syndicate Legal Support Services will make arrangements to pay administration and arbitrator fees directly to the AAA. In the event the arbitrator determines the claim(s) the Client asserts in the arbitration to be frivolous, the Client agrees to reimburse Syndicate Legal Support Services for all fees associated with the arbitration paid by Syndicate Legal Support Services on the Client’s behalf that the Client otherwise would be obligated to pay under the AAA's rules.
- Severability: With the exception of the "Prohibition of Class and Representative Actions and Non-Individualized Relief", if an arbitrator or court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply.
This Agreement contains the entire understanding of the parties with respect to all matters referred to herein and may not be changed, amended, modified or waived orally but only by a written agreement signed by the party against whom enforcement of any waiver, change, modification, or amendment is sought. This Agreement shall be construed under the Laws of the State of California, County of Los Angeles. If any provision in this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force and effect. The headings to the sections of this Agreement are for reference only and shall not affect its construction or interpretation.
